Please read these terms carefully. By accessing or using Waypoint Terminal, you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. These terms include a mandatory arbitration clause and limitation of liability provisions that affect your legal rights.
By accessing, registering for, or using Waypoint Terminal ("Platform," "Service"), you ("User," "you") agree to be fully bound by these Terms of Service ("Terms"), our Privacy Policy, and our Risk Disclosure. These Terms constitute a legally binding agreement between you and Waypoint Terminal ("Company," "we," "us"). If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization.
Waypoint Terminal is a structured market analysis and decision-support tool designed to assist independent, self-directed traders in organizing their analytical workflow. The Platform provides:
The Platform is designed for informational and educational purposes only. It is not a brokerage, investment advisor, financial planner, or signal service. All outputs are analytical in nature and do not constitute trade recommendations.
Nothing within the Platform constitutes investment advice, financial advice, trading advice, or any recommendation to buy, sell, or hold any financial instrument. The Company is not a registered investment advisor, broker-dealer, or financial institution. Use of the Platform does not create any advisory or fiduciary relationship. You are solely responsible for all trading decisions, and those decisions should be made in consultation with licensed financial professionals as appropriate for your situation.
You must be at least 18 years of age to use the Platform. By creating an account, you represent that all information you provide is accurate and current. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.
Subscriptions are billed on a monthly or annual basis depending on the plan selected. By subscribing, you authorize us to charge the payment method on file at the beginning of each billing period.
All subscriptions renew automatically unless cancelled before the renewal date. You will receive a reminder prior to renewal. It is your responsibility to cancel if you do not wish to renew.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. Access to the Platform continues through the end of the paid period.
We offer a 14-day free trial on all new accounts. After the trial period, all payments are non-refundable except where required by applicable law. We reserve the right to issue refunds at our discretion in exceptional circumstances.
Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of the next billing cycle.
We reserve the right to modify pricing. You will be notified at least 30 days prior to any price change affecting your subscription.

Violation of these terms may result in immediate termination of your account without refund.
All content, features, algorithms, AI models, analytical outputs, signals, scores, visual design, user interface elements, written materials, and code comprising Waypoint Terminal are the exclusive intellectual property of the Company and are protected by copyright, trade secret, and other applicable laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for your own personal, non-commercial trading analysis purposes only. No ownership interest is transferred to you. You may not reproduce, distribute, modify, create derivative works from, or exploit any portion of the Platform or its outputs.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY DATA, ANALYSIS, OR OUTPUT. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WAYPOINT TERMINAL, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING TRADING LOSSES, LOST PROFITS, LOSS OF DATA, MISSED OPPORTUNITIES, SYSTEM OUTAGES, OR THIRD-PARTY DATA ERRORS, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM.
TO THE EXTENT DIRECT DAMAGES ARE FOUND TO APPLY, OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
You agree to indemnify, defend, and hold harmless Waypoint Terminal and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your trading decisions or financial outcomes; (c) your violation of these Terms; or (d) your violation of any third-party rights.
Any dispute, claim, or controversy arising from or relating to these Terms or your use of the Platform shall be resolved by binding individual arbitration, not in court. You waive your right to participate in a class action lawsuit or class-wide arbitration. Arbitration shall be conducted under the rules of the American Arbitration Association (AAA) or a mutually agreed alternative forum. Nothing in this section prevents either party from seeking emergency injunctive relief in court where appropriate.
We reserve the right to suspend or terminate your account at any time for violation of these Terms, suspected fraudulent activity, chargebacks, or for any other reason at our discretion. Upon termination, your license to use the Platform immediately ceases. Provisions of these Terms that by their nature should survive termination shall do so, including intellectual property, limitation of liability, and dispute resolution.
We may update these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the United States and the state of your Company's jurisdiction, without regard to conflict of law provisions. Any disputes not subject to arbitration shall be brought in the federal or state courts of competent jurisdiction.
